The licence, VAT and e-invoicing rules for reselling IT, web and software services in the UAE, and how to apply to Codeeo's reseller programme.

To become an IT services reseller in the UAE, you need a trade licence whose activities cover selling IT, software or web services, VAT registration so you can issue tax invoices at 5%, and a delivery partner who builds the work while you hold the client and the contract. If you already sell technology or business services into the UAE market and keep getting asked for websites, apps or software, you can apply to Codeeo's reseller programme and start carrying a full catalogue under your own name.
Below: how the model works, the licence and tax paperwork in the Emirates, who buys, and how deals are won here. Each rule is linked to its government source.
What an IT services reseller does in the UAE
An IT services reseller sells technology work it does not build itself. The reseller signs the client, sets the price, issues the invoice and manages the relationship. A delivery partner scopes the work, writes the code, tests it, launches it and supports it afterwards.
Unlike a box of switches or a seat licence, a website, app or ERP rollout is built to a scope and needs support after launch. The reseller owns the commercial side without hiring an engineering bench.
In the UAE it suits companies with trusted access to buyers that turn away requests outside their core service. Each of those requests is a deal walking out of the door.
How the Codeeo reseller model works
Under a Codeeo reseller agreement, you take Codeeo's services to your market. You own the client and the contract; Codeeo prices, scopes and delivers behind you. One agreement covers the full catalogue: websites, apps, custom software, Dynamics 365, Odoo, design, developers and marketing.
What you keep
- The client relationship and the renewal conversation.
- The contract and the invoice to your client.
- Your own price on top of the agreed margin.
- The pitch, with Codeeo's solution lead beside you.
What Codeeo does
- Scope and estimate within two business days.
- Architecture, build, QA and launch.
- Hosting, support and retainer work behind you.
- Deal registration and a quarterly review.
Codeeo contracts with you, not your client, unless you ask Codeeo to contract directly. You invoice your client; Codeeo invoices you, in the currency and from the entity agreed in your contract. That separation matters in the UAE, where electronic invoicing is about to change how invoices move.
Deal registration and pre-sales support
When you find an opportunity, you register it, and it is yours for twelve months. There is no second Codeeo route into the same account. If two partners bring the same account, the first valid registration on a named opportunity holds for twelve months.
For the pitch itself, a solution lead joins you, sizes the work and writes the technical section of your proposal. Standard scopes come back within two business days; anything that needs architecture work gets a call with the solution lead first.
Margin and terms
Rates are set per territory and per service line in your agreement and improve as registered volume grows. There is no minimum volume, no quota and no certification gate. Terms move with volume, and nothing is withheld at the start.

Reseller, white label or referral: which model fits
Codeeo runs four partner models: reseller, white label delivery, referral and product partner. Most UAE companies weighing this up are choosing between the first three. The table sets out the practical differences.
| Question | Reseller | White label delivery | Referral |
|---|---|---|---|
| Who owns the client? | You | You | Codeeo, once introduced |
| Who signs the contract with the client? | You | You | Codeeo |
| Whose name is on the work? | Your company sells it, Codeeo delivers behind you | Yours, Codeeo stays invisible | Codeeo |
| Who invoices the client? | You | You | Codeeo |
| Who sets the client price? | You, on top of the agreed margin | You | Codeeo |
| Best for | Firms with a sales team and client access but no engineering bench | Agencies that already deliver and need extra capacity | Advisers who want to pass on a lead and step back |
If you would rather keep Codeeo fully out of sight inside your own delivery, read about white label delivery. If you only want to introduce clients occasionally, the referral programme is simpler. The rest of this guide assumes you want to hold the contract, which is the reseller route.
The licence you need to resell IT services in the UAE
Every business in the UAE trades under a licence, and the licence lists the activities you are allowed to carry out. Reselling software development or web design is a service activity, so the question is whether your current licence already covers it.
Start with the activity, not the licence type
The UAE government portal is clear on the order of decisions. On its guide to starting a mainland business, it says identifying the business activity "is the basis for selecting the legal form and type of licence" (u.ae, steps to start a business on the mainland). In practice, that means checking the activity list on your existing licence against what you plan to sell: website design and development, software development, IT consultancy, digital marketing and so on. Activity names and groupings vary by issuing authority, so check the exact wording with your licensing body rather than assuming a similar sounding activity covers it.
On the mainland, licences are issued by each emirate's economic department. The same u.ae page lists them, including the Department of Economy and Tourism in Dubai and the Department of Economic Development in Abu Dhabi.
Mainland or free zone
Where your company is licensed affects who you can sell to directly. The government portal states that free zone companies generally cannot sell directly into the UAE mainland market; they must work through a licensed mainland distributor or set up a mainland branch or company, unless they obtain the required mainland licences or approvals (u.ae, running a business in a free zone).
For an IT services reseller this is a real consideration. Many of the best buyers in the UAE, including family groups and government linked entities, are mainland organisations. If your company sits in a free zone, confirm with your free zone authority how you can contract with mainland clients before you sign one.
VAT, tax invoices and corporate tax
Reselling means charging VAT, issuing tax invoices and paying tax on the profit. The UAE mechanics are worth knowing before your first deal.
VAT at 5% on services
The Ministry of Finance states that VAT "was introduced across the UAE on 1st January 2018 at a standard rate of 5%" (Ministry of Finance, VAT). Article 3 of Federal Decree-Law No. 8 of 2017 sets that standard rate on any supply, which includes services such as website builds, app development and retainers. If you are a registered business, your invoice to the client carries 5% VAT unless a specific relief applies.
Issuing tax invoices on time
The VAT law, as published by the Federal Tax Authority with its amendments, requires a registrant making a taxable supply to issue an original tax invoice to the recipient (Article 65), and to issue it within 14 days from the date of supply (Article 67) (Federal Decree-Law No. 8 of 2017 and amendments). Article 69 adds that where a supply is priced in another currency, the amount on the tax invoice must be converted into dirhams at the Central Bank rate on the date of supply.
Software projects are usually billed in milestones, and each can create a date of supply, so align your invoicing schedule with the payment schedule in your client contract.
Corporate tax at 9%
The UAE introduced federal corporate tax for financial years beginning on or after 1 June 2023. Taxable income above a threshold set in the law is taxed at 9% (u.ae, corporate tax). Ask your tax adviser how the threshold and any relief apply to your entity, particularly in a free zone.
Electronic invoicing from 2027
The biggest change coming to UAE invoicing is the national electronic invoicing system. The Ministry of Finance announced that it will cover business to business (B2B) and business to government (B2G) transactions, with a pilot starting on 1 July 2026 for a selected group of taxpayers. Mandatory use then rolls out in phases: the largest businesses by revenue from 1 January 2027, other businesses from 1 July 2027, and in-scope government entities from 1 October 2027. Each business in scope must appoint an Accredited Service Provider before its go-live date (Ministry of Finance, electronic invoicing decisions). The amended VAT law also says a registrant subject to the system must issue and transmit tax invoices as electronic invoices.
For a reseller, both invoices in the chain are affected: the one you issue and the one you receive. Ask your accounting provider now which phase applies to you.
Who buys IT services in the UAE
Four groups make up most of the demand a UAE reseller will see.
SMEs
Small and medium businesses are the volume end of the market. They buy websites, ecommerce stores and marketing retainers, usually from a supplier they already know. Codeeo's work for Ghezlan, a bilingual WooCommerce store for a UAE veterinary supplier with 146 products found by animal, product type or brand, is an example of this kind of work.
Family groups
Family owned groups often span several sectors, with decisions held by a small circle. A reseller serving one company in the group is well placed to sell into the others, and deal registration protects each named opportunity.
Listed companies
Listed companies treat their website as part of their disclosure obligations, not only as marketing. The Codeeo case study for Modon Holding sets this out: a listed company website is a disclosure surface, not a brochure, and governance documents, board changes and financial reporting all had to publish on it.

Semi government and government entities
Semi government and government buyers run formal procurement. Expect supplier registration, documented scopes and longer cycles, plus the B2G electronic invoicing timeline above. Codeeo's teams in Dubai and Riyadh handle Gulf enterprise work, including Dynamics 365, web and app builds.
Which UAE businesses make good resellers
Reselling fits companies that already sell technology services or software into a defined market, want to hold the contract and the client relationship, have a sales team but not the engineering bench, and are asked for capabilities they currently turn away. In the UAE, four types fit most often.
IT hardware and networking resellers
These firms already maintain client networks and are asked for intranets and portals they refer elsewhere. Adding web development and custom software turns those requests into contracts they hold.
Business setup consultants
Setup consultants meet founders at the moment they need a website and a launch campaign. Reselling lets them complete the package.
Marketing and PR agencies
Agencies run campaigns on websites and apps they do not build. Codeeo's Diyafah case study, a bilingual school website on Strapi built right to left from the start with 399+ conversions recorded since launch, shows the kind of Arabic and English build an agency can sell alongside its campaign work.
ERP consultants
ERP consultants are asked for customer facing pieces such as portals and ordering apps. Codeeo's catalogue covers Dynamics 365 and Odoo as well as web and app builds, so an ERP consultant can carry both sides under one agreement.
Selling technology services the UAE way
Relationships come before proposals
UAE business is relationship led. Introductions through a trusted contact carry weight, and reselling keeps the person who holds that trust in front of the client.
Bilingual proposals
Larger and government linked clients often expect proposals, and the product, in Arabic and English. Right to left support must be scoped from the start, so raise it early with the solution lead.
WhatsApp is a working channel
Much UAE business runs on WhatsApp, from introductions to design approvals. Agree which decisions need a signed document, and keep a written record of scope changes.
Local delivery from Dubai
Codeeo has a team of 80+ across Dubai, Riyadh and Karachi, with teams in Dubai and Riyadh working on Gulf enterprise projects. Because part of that team is in Dubai, UAE projects have local people behind them, while you remain the client's contact and contracting party.
Across its markets, Codeeo has delivered 200+ projects across the UAE and the US, and is rated 4.7 from 23 Google reviews. The published case studies give you real examples to show a prospect.
How to apply to Codeeo's reseller programme
The UAE falls within Codeeo's Middle East territory, where teams in Dubai and Riyadh serve Gulf enterprises with Dynamics 365, web and app builds. Your territory sets your default terms; it does not fence you in. If you find a deal outside your territory, register it and Codeeo will look at it.
The process has four steps:
- Apply. Tell Codeeo your market, your client base and the service lines you want to carry. Applications are reviewed within two business days.
- Align. A call with your partner manager covers territory, service lines, margin and deal registration, and all of it goes in writing.
- Enable. You receive a sales kit, pricing guidance, demo environments and a named solution lead.
- Grow. Register deals, review performance quarterly, and move up the terms as volume builds.
Before you apply, check your licence activities and VAT registration, and list the clients who have already asked you for this work. When you are ready, apply on the reseller programme page; the form is at the bottom.
Frequently asked questions
You need a trade licence whose activities cover the services you sell, such as software development, web design or IT consultancy.
The UAE government portal says the business activity is the basis for selecting the licence type and legal form. Check your current activities with your licensing authority, either an emirate's economic department on the mainland or your free zone authority, and add any missing activity before you invoice clients for that work.
